1. Status of this document

1.1. This document is a public offer under Art. 398 of the Civil Code of the Kyrgyz Republic from Sole Proprietor Tursunakunova Nurzhan Surapovna (OKPO 33188711, reg. no. 004-2024-169-3867 of 2024-08-20) (INN 10101198505505, the "Operator") to grant SaaS access to the KMS service.

1.2. The offer is accepted (fully and unconditionally) upon:

  • Kindergarten registration in KMS;
  • Activation of a plan;
  • First login of an authorised representative.

1.3. The document simultaneously acts as:

  • Terms of Service — for all users (staff and parents);
  • Offer — for the kindergarten as legal entity / sole trader;
  • Data Processing Agreement (DPA) — section 7.

2. Definitions

  • Service / KMS — the "Kindergarten Management System" software, available at https://kms-system.com and *.kms-system.com.
  • Client / Kindergarten — legal entity or sole trader registered as a pre-school institution.
  • User — any natural person using the service (staff or parent / legal representative).
  • Data controller — the party that determines purposes and means of processing (the kindergarten in the KMS context).
  • Data processor — the party processing on behalf of the controller (Sole Proprietor Tursunakunova Nurzhan Surapovna (OKPO 33188711, reg. no. 004-2024-169-3867 of 2024-08-20) as platform owner).
  • PD — personal data as defined by Art. 2 of Law No. 179.
  • Plan — the feature set and limits of a subscription.

3. Subject matter

3.1. The Operator grants the Client a non-exclusive, non-transferable right to access KMS within the selected plan.

3.2. The service is provided "as is" with availability per section 5.

3.3. Functionality includes: children and groups, staff, attendance, meals, medical, lessons, finance, payments, communication, reporting.

3.4. Current plan features are at https://kms-system.com/{locale}/pricing.


4. Pricing and payments

4.1. Plans in force at signing:

4.2. Payment is made in advance, monthly or for another term chosen by the Client.

4.3. Settlement currency is Kyrgyz som (KGS) unless agreed otherwise.

4.4. Longer-term payments may receive published discounts.

4.5. The Operator may change prices with 30 days' notice. Prepaid periods are not repriced.


5. Service availability (SLA)

5.1. The Operator uses reasonable efforts to ensure availability of at least 99 % per calendar month, excluding:

  • Scheduled maintenance (with at least 24 hours' notice);
  • Force majeure (Art. 368 Civil Code);
  • Upstream carrier / power failures;
  • DDoS and other external attacks.

5.2. Where the SLA is breached, the prepaid term is extended pro rata.


6. Rights and obligations

6.1. Operator obligations:

  • Maintain the service according to the plan;
  • Protect personal data per section 7 and the Privacy Policy;
  • Inform the Client of service / terms changes;
  • Provide support via [email protected], Mon–Fri 09:00–18:00 Bishkek time;
  • Notify the Client of security incidents within 48 hours (7.7).

6.2. Operator rights:

  • Suspend access for breach, non-payment, or suspected unlawful use;
  • Update service features without prior consent;
  • Terminate access where the Client has been inactive for more than 180 days.

6.3. Client obligations:

  • Pay on time per plan;
  • Ensure accuracy of input data;
  • Obtain parental consents via the KMS mechanism;
  • Keep credentials secret;
  • Comply with the Privacy Policy and Law No. 179;
  • Use the service for lawful childcare / education purposes only.

6.4. Client rights:

  • Export data in machine-readable form at any time;
  • Request full deletion after termination (per 7.8);
  • Switch plans;
  • Unilaterally terminate with 7 days' notice.

6.5. User (natural person) obligations:

  • Comply with KR law;
  • Refrain from disrupting the system, bypassing auth, or mass data scraping;
  • Report credential compromises.

7. Data Processing Agreement (DPA)

7.1. Roles

7.1.1. Within KMS:

  • Client (kindergarten) is controller of pupil, parent, and its own staff data.
  • Sole Proprietor Tursunakunova Nurzhan Surapovna (OKPO 33188711, reg. no. 004-2024-169-3867 of 2024-08-20) (KMS) is processor on behalf of the Client for those data.
  • For service technical data (IP, logs), authentication, and billing, Sole Proprietor Tursunakunova Nurzhan Surapovna (OKPO 33188711, reg. no. 004-2024-169-3867 of 2024-08-20) is the independent controller.

7.2. Processing subject

7.2.1. The Controller instructs the Processor to carry out the following operations by automated means: collection, recording, structuring, accumulation, storage, refinement, retrieval, use, blocking, deletion, destruction.

7.2.2. Subject categories: children, parents / legal representatives, kindergarten staff.

7.2.3. Data categories: as in section 4 of the Privacy Policy.

7.3. Controller instructions

7.3.1. The Processor processes only on documented instructions, expressed via KMS configuration.

7.3.2. Where KR law mandates other processing, the Processor informs the Controller before starting (unless prohibited by law).

7.4. Security measures

7.4.1. The Processor applies the technical and organisational measures of section 9 of the Privacy Policy (TLS 1.3, session protection, RBAC, kindergarten_id isolation, append-only audit, rate limiting, backups).

7.5. Sub-processors

7.5.1. The Processor does not engage external cloud storage, CRM, analytics, or marketing vendors for KMS user data.

7.5.3. Changes to the sub-processor list: notified at least 30 days in advance.

7.6. Confidentiality

7.6.1. The Processor ensures that only authorised staff under confidentiality obligations access Controller data.

7.7. Breach notification

7.7.1. Security incidents affecting Controller data are reported to the Controller within 48 hours of detection (Art. 37 Law No. 179).

7.7.2. Notice goes to the Client's registered email and contains: nature, affected categories and volume, consequences, measures.

7.8. Return and deletion

7.8.1. On termination the Controller may export data in machine-readable form (JSON / CSV) within 30 days.

7.8.2. After 30 days the Processor destroys all Controller data (including backups) within 2 weeks, except data the Processor must keep by KR law (e.g., 5 years for financial documents).

7.8.3. An internal destruction act confirms completion.

7.9. Data subject rights

7.9.1. Subject requests (access, correction, deletion) are handled jointly. The kindergarten must cooperate promptly to meet statutory deadlines (Arts. 10, 13, 23 Law No. 179).

7.10. Audit

7.10.1. On request the Processor provides information reasonably needed to demonstrate DPA compliance.


8. Liability

8.1. Liability follows KR law.

8.2. Operator liability is capped at the Client's payments for the 3 months preceding the event, excluding wilful misconduct.

8.3. The Client is liable for:

  • Accuracy of input;
  • Obtaining and storing parental consents;
  • Acts of its staff in the system;
  • Compliance with education, health, and child-rights law.

9. Intellectual property

9.1. Exclusive rights in the KMS software, design, trademarks, and documentation belong to Sole Proprietor Tursunakunova Nurzhan Surapovna (OKPO 33188711, reg. no. 004-2024-169-3867 of 2024-08-20).

9.2. The Client receives only a right to use within the plan. Reverse engineering, copying code, or producing derivative works is prohibited.

9.3. Data entered by the Client remain the property of the Client and of the subjects of that data.


10. Governing law and disputes

10.1. KR law applies.

10.2. Disputes not resolved by negotiation within 30 days go to the Pervomaisky District Court of Bishkek.

10.3. Mandatory claim procedure: 30 days for review of a received claim.


11. Term and changes

11.1. The offer is open-ended until withdrawn or replaced.

11.2. The Operator may amend terms with at least 14 days' notice.

11.3. Continued use after the effective date means acceptance. Otherwise, the Client may terminate per 6.4.
